StudyPug provides its services to you (“You”) via its website located at www.studypug.com (the “Website”), third-party websites, other servers, and related mobile applications (collectively, the “Services”).
About StudyPug: StudyPug Inc. is a company incorporated under the laws of Canada, extra-provincially registered in British Columbia, with its headquarters in Richmond, BC. StudyPug USA Inc. is a company incorporated in Nevada, USA. References to “StudyPug,” “we,” “us,” and “our” throughout this agreement include both entities where the context requires. In the United States, billing is administered by StudyPug USA Inc. as the designated billing entity. Your contractual relationship for Services is with StudyPug Inc., and your billing relationship if you are located in the United States is with StudyPug USA Inc.
The Services are provided subject to this Terms of Service (“Terms”), which may be updated by us from time to time. We will provide notice of material changes as described in the Notice section below.
PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING FOR, ACCESSING, BROWSING, OR USING THE WEBSITE OR THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND YOURSELF, OR THE CHILD ON WHOSE BEHALF YOU REGISTER, TO THESE TERMS.
Eligibility.
The Website and Services are not available to any person previously suspended or removed by StudyPug. By registering, you represent that: (a) you have not been previously suspended or removed; (b) you have reached the age of majority in your jurisdiction, or you are the parent or guardian registering on behalf of your child, or your parent or guardian has consented to your use; and (c) your registration and use will comply with all applicable laws and regulations.
Account.
To use the Services, you must register for an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You will provide accurate, current, and complete information and keep it up to date. If you believe your account has been compromised, notify us immediately at support@studypug.com. Your account may not be shared without prior written authorization from StudyPug.
Authentication Services.
StudyPug may permit registration through third-party services such as Google (“Authentication Service”). By doing so, you agree to StudyPug accessing your account information from that service and to its terms of use.
Membership.
Upon registering, you become a member of StudyPug with the right to use the Website and Services subject to these Terms.
Fees.
StudyPug charges fees for subscription access to the Services (“Fees”). Current Fees are posted at www.studypug.com/pricing. Fee changes will be posted on the Website no less than thirty (30) days before taking effect.
Payment.
By starting your subscription, you authorize StudyPug (or its billing agent, StudyPug USA Inc. for United States Home Customers) to automatically charge the Fees to your designated payment method (such as a credit card, PayPal account, or other accepted payment method) (“Payor Method”) at the then-current rate, beginning at the start of your paid Membership and at each renewal period thereafter. You must notify StudyPug of any changes to your Payor Method. If payment is not received, StudyPug may suspend your access.
30-Day Money-Back Guarantee.
If you are not satisfied with the Services for any reason, you may request a full refund within thirty (30) days of your initial subscription purchase. Refund requests must be submitted to support@studypug.com. This guarantee applies to your first subscription period only. Subsequent renewals are non-refundable except as required by applicable law.
Cancellation.
You must cancel your Membership before it renews for the next billing period to avoid being charged for the next period. To cancel, sign into your account, access Account Management, click “Cancel Membership,” and follow the instructions. Following cancellation, you will retain access to the Services until the end of your paid period. No refunds are provided for partial periods after the 30-day money-back guarantee period has expired.
Fee Changes.
StudyPug may change its Fees at any time with thirty (30) days' notice on the Website.
StudyPug provides educational learning resources to assist users in learning academic subjects. Unless otherwise stated, new features that augment the Services shall be subject to these Terms. The Services are provided “as is,” and StudyPug assumes no responsibility for the timeliness, deletion, or failure to store any user content or settings.
To use the Services, you must have Internet access and any necessary equipment to connect.
StudyPug offers educational content for learners of all ages, including children under 13. StudyPug complies with the Children's Online Privacy Protection Act (COPPA), 15 U.S.C. §§ 6501-6506.
For users under 13: A parent or guardian must register and subscribe using a valid payment method (credit card or equivalent). By completing the subscription and assigning access to a child's account, the subscribing parent or guardian provides verifiable parental consent for the collection of the child's personal information as described in this agreement and the Privacy Policy. Parents may review, correct, or request deletion of their child's personal information by contacting:

For educational institutions: When a school or district provides student information to StudyPug under an institutional agreement, the institution acts as the authorizing agent for data collection, consistent with FTC guidance on school consent under COPPA.
Your registration data and other personal information are subject to our Privacy Policy at www.studypug.com/support/privacy/. Our Privacy Policy is incorporated into these Terms by reference.
StudyPug has the exclusive right to distribute and commercialize the Website and the Services, including all platform content, code and materials (“PCM”), in all markets. All rights not expressly granted are reserved. These Terms grant you no right, title, or interest in any intellectual property associated with the Website or the Services, including the StudyPug trademarks. Rights granted are solely to you personally and are non-transferable.
Subject to these Terms, you are granted a limited, non-exclusive, revocable, non-transferable right to access and use the Website and Services for personal, non-commercial educational purposes only. All PCM are protected by applicable intellectual property and other laws.
Restrictions on Use.
You may not: (a) sell, rent, sublicense, distribute, or commercially exploit the PCM or Services; (b) create derivative works from the PCM, whether or not for commercial purposes; (c) reverse engineer the Services; (d) use the Services for any purpose other than personal educational use; or (e) use any automated means to access the Services.
You are solely responsible for all content you upload, post, or transmit through the Services (“User Generated Content”). StudyPug does not control User Generated Content and is not responsible for its accuracy, integrity, or quality.
By using the Website and/or Services, you agree NOT to:
Use the Services for any commercial purpose without written authorization from StudyPug;
Sell, rent, or distribute the PCM or any derivative works based on them;
Post, upload, or distribute defamatory, unlawful, offensive, pornographic, harassing, or otherwise inappropriate content;
Impersonate any person or entity or misrepresent your affiliation with any person or entity;
Delete or obscure any copyright or proprietary rights notices;
Engage in spamming, phishing, or other fraudulent or illegal activity;
Attempt to circumvent, disable, or interfere with security features of the Website or Services;
Use the Services to collect personally identifiable information of other users;
Upload or disseminate viruses, malware, or other harmful code;
Use an unreasonable amount of bandwidth, storage, or processing as determined by StudyPug;
Violate any applicable law, regulation, or governmental order.
StudyPug reserves the right to modify, suspend, or discontinue the Services or any part thereof at any time, with or without notice. StudyPug shall not be liable for any modification, suspension, or discontinuance.
In the event of permanent discontinuance of the Services, the Website and Services will remain accessible to you until the end of your prepaid Membership period.

StudyPug may terminate or suspend your account and access to the Services at any time, for any reason or no reason, including for violations of these Terms, without prior notice. Any fraudulent, abusive, or illegal activity may be referred to law enforcement.
By You.
You may terminate your account at any time by cancelling your Membership as described above and ceasing all use of the Services.
The Services may contain links to third-party websites or resources. StudyPug is not responsible for the availability, content, or accuracy of such third-party sites and does not endorse them. Your use of any third-party site is at your own risk.
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. STUDYPUG EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. STUDYPUG DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY ERRORS WILL BE CORRECTED.
STUDYPUG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. IN NO EVENT SHALL STUDYPUG'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (CAD$100), WHICHEVER IS LESS.
You will indemnify, defend, and hold harmless StudyPug and its parents, subsidiaries, affiliates, contractors, directors, employees, agents, licensors, and partners from any claims, damages, and expenses (including legal fees) arising from your use or misuse of the Services, any content you submit or post through the Services, or your violation of these Terms.
Governing Law.
These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict of law provisions. Any dispute shall be subject to the exclusive jurisdiction of the courts of British Columbia, except where a mandatory consumer protection law requires a local court.
Arbitration.
All claims brought against StudyPug for any relief except injunctive or equitable relief shall be addressed in binding, non-appearance-based arbitration conducted by telephone, online, or based solely on written submissions. You agree not to bring, or combine with others to bring, a class action against StudyPug. Any arbitration award may be entered in any court of competent jurisdiction.
This dispute resolution section does not apply to institutional customers whose service agreements contain separate dispute resolution provisions.
Changes to these Terms may be made by StudyPug at any time. For material changes, we will post a notice on the Website and, where reasonably practicable, provide direct notice to registered users. The updated Terms will reflect a changed effective date. Your continued use of the Services following any changes constitutes your acceptance of the revised Terms.
These Terms constitute the entire agreement between you and StudyPug and supersede any prior agreements. You may also be subject to additional terms when using affiliate or third-party services. If any provision of these Terms is found invalid, the remaining provisions continue in full force and effect. Any claim arising out of or related to these Terms must be filed within one (1) year after the cause of action arises, to the extent permitted by applicable law.
Survival.
Upon termination or expiry of these Terms, any provision which by its nature or express terms should survive will survive, including without limitation: Ownership, Access to Services, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution.
Assignment.
These Terms may not be transferred or assigned by you, but may be assigned by StudyPug without restriction.
